Terms.

The app is free and Sync is a paid subscription. These are the terms for both, written in plain language.

What these terms cover

These terms are an agreement between you and Jotura ("we", "us") and apply to the Jotura app on every platform, the jotura command line tool, the Jotura Sync service, and this website. By installing the app or creating an account you accept them. If you do not accept them, do not use the app or the service.

Nothing in these terms limits any right you have under consumer law that cannot be limited by agreement. Where a term here conflicts with such a right, the right wins.

The app

The Jotura app is free to download and use, and it needs no account. Your notes are ordinary markdown files in a folder on your own disk, they belong to you, and you can open, copy, or move them with any other tool at any time. The app sends nothing about you or your notes to us. Its only routine network request is a check for updates.

We grant you a personal, non-exclusive, non-transferable licence to install and use the app on devices you control. The app is closed source. You may not sell it, sublicense it, or remove its licence or attribution notices, and you may not reverse engineer it except where the law expressly allows.

The app is provided as is. We work hard to keep it reliable and it is built to keep your files safe (atomic writes, a trash you can restore from, conflict copies instead of silent overwrites), but we make no warranty that it is free of defects or suited to any particular purpose. Keep your own backups.

Jotura Sync

Jotura Sync is an optional paid subscription. It gives your account end-to-end encrypted sync between your devices, encrypted cloud backup, restore to a new machine, version history for synced notes, and sharing of folders or single notes with other Jotura Sync subscribers.

You need an account to subscribe. Sign-in is by a one-time code sent to your email address, and you are responsible for keeping that email account secure. One subscription covers one person and their devices. Sharing needs a subscription on both sides.

We may change, add to, or retire parts of the service. If we retire the service altogether, we will give you at least 30 days' notice by email so you can make sure every device holds a current copy of your vault. Your notes are on your devices as plain files throughout, so nothing we do to the service can take them away from you.

Billing

Jotura Sync is £4 a month or £40 a year, charged in your local currency where our checkout supports it. The current prices are on thepricing page. Prices include VAT where it applies.

Payments are processed by Stripe. Your card details go directly to Stripe and never reach our servers. Stripe's own terms apply to the payment itself.

The subscription renews automatically at the end of each billing period, monthly or yearly, until you cancel. You can change plan, update your card, and download invoices from the billing portal on your account page.

If we change the price, we will email you at least 30 days before the new price takes effect. The new price applies from your first renewal after that notice. If you do not want to pay it, cancel before then.

If a payment fails, we retry it and email you. Sync continues for a short grace period. If the payment still fails, the subscription lapses and sync pauses on every device until you subscribe again. Nothing is deleted when a subscription lapses.

Refunds

If Jotura Sync is not what you wanted, email[email protected] within14 days of your first purchase and we will refund it in full, no questions asked. This applies to your first subscription payment only, whether monthly or yearly.

Renewal payments are not refundable, and we do not offer pro rata refunds for the unused part of a period after you cancel. To avoid being charged for a period you do not want, cancel before it renews. Where a statutory right to a refund goes further than this, the statutory right applies.

Cancellation

You can cancel at any time from the billing portal on youraccount page. Cancellation takes effect at the end of the period you have already paid for. Sync keeps working until then, and you are not charged again.

After the subscription ends, sync between your devices pauses. Your notes stay exactly where they are, as plain files on each device, and the app keeps working in full without an account. If you subscribe again later, sync picks up where it left off.

You can also delete your account entirely from the account page. Account deletion is separate from cancelling the subscription: cancel first, then delete. Deletion deactivates the account immediately, and the encrypted data we hold for it is purged after 30 days, as described on the privacy page.

Acceptable use

We cannot read what you sync, and we do not try to. We still ask that you do not use the service to store or distribute material that is unlawful for you to hold, to infringe anyone else's rights, or to harm anyone. You must not attack, probe, overload, or attempt to gain unauthorised access to the service or to other users' data, and you must not resell access to it or share one account between several people.

The service is built for notes and the documents that sit beside them. Storage is generous but not unlimited, and we may ask you to reduce a vault that is far outside normal use before it affects other users.

Suspension and termination

We may suspend or terminate your account if you breach these terms, abuse the service, or if a subscription payment remains unpaid after our retries. Where it is practical to do so we will warn you first, by email, and give you a chance to put it right.

If we suspend or terminate your account, you can still sign in and download your encrypted vault to a device you control for 30 days from the date of suspension. Your notes were on your devices as plain files all along, so in most cases there is nothing to download. After those 30 days we may delete the data we hold, and deleting your account yourself purges it after 30 days as described above.

You may end this agreement at any time by cancelling your subscription, deleting your account, or uninstalling the app.

Encryption, your password, and your recovery phrase

Jotura Sync is end-to-end encrypted. Your notes are encrypted on your device with keys derived from a sync password you choose, and the server only ever stores ciphertext it cannot read. That design has a consequence you need to understand before you rely on it:we cannot recover a lost sync password or recovery phrase. We have no reset link to send you, a support ticket cannot get around it, and we make no exceptions for any reason, because we hold nothing that could unlock your data.

When you enable sync, the app gives you a recovery phrase and asks you to confirm it. Write it down and keep it somewhere safe. The phrase gets you back in when you forget your sync password. Losing both leaves the encrypted copy on our servers permanently unreadable, to you and to us, although the plain files on any device that already holds your vault are unaffected.

You are responsible for your sync password, your recovery phrase, and the security of the devices and email account you use with Jotura. If you remove someone from a share, they keep whatever they already saw while they had access, because nothing can take back what was already decrypted on their device.

Your content

Everything you write or store in Jotura is yours. We claim no rights over it. The only licence you give us is the one needed to run the service: to store the encrypted bytes, pass them between your devices and the people you share with, and delete them when you ask. Because the content is encrypted before it reaches us, that licence covers bytes we cannot read.

Liability

We do not exclude or limit liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to exclude.

Subject to that, the app and the service are provided as is and as available. We are not liable for loss of data that you did not keep a copy of, for loss caused by a lost sync password or recovery phrase, for loss caused by your devices, network, or email provider, or for any indirect or consequential loss. Our total liability to you for anything arising from these terms is limited to the amount you paid us in the twelve months before the claim arose.

Changes to these terms

We may update these terms. When we do, the date at the top changes and, if the change affects subscribers materially, we email you at least 30 days before it takes effect. Continuing to use the service after that date means you accept the new terms. If you do not, cancel before it.

Disputes and governing law

If something goes wrong, email[email protected] first. Most problems are quicker to fix than to argue about, and we would rather fix them.

These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction over any dispute arising from them. If you live elsewhere and your local law gives you the right to bring a claim in your own courts or under your own consumer protections, that right is not affected.

Privacy

What we collect, what we cannot see, and how to delete everything is set out on theprivacy page. It is short, and it is part of these terms.

Questions about any of this: [email protected].
